Please read these terms carefully before using the PropsEngine platform.
These Terms of Service ("Terms") govern your access to and use of the PropsEngine platform and related services ("Service"). By subscribing to a plan or using the Service, you ("Client") agree to be bound by these Terms. PropsEngine reserves the right to update these Terms at any time with reasonable notice.
PropsEngine provides white-label infrastructure software that enables Clients to operate their own proprietary trading challenge programs. The Service includes a trader-facing dashboard, an admin panel, challenge configuration tools, KYC flows, payout management, liquidity provider integrations, risk management tooling, and email automation. PropsEngine does not operate as a broker, financial institution, or investment firm. We do not provide financial advice and do not manage trader funds on behalf of Clients.
All subscriptions require a one-time setup fee of 7,500 EUR, invoiced upon contract execution. This fee covers platform configuration, custom branding, domain setup, initial compliance checks, and liquidity provider integration. The setup fee is non-refundable once onboarding work has commenced. Platform access is granted once the setup fee is paid and onboarding is complete, which typically takes up to 72 hours from payment confirmation.
Subscription fees are charged monthly or annually in advance, depending on the billing cycle selected. Fees are payable via the payment methods accepted through our payment provider (Stripe). Failure to pay within 7 days of the due date may result in suspension of the Service. Annual subscriptions are non-refundable after 14 days of the billing period. Monthly subscriptions may be cancelled at any time and will remain active until the end of the current billing period.
Clients are solely responsible for the lawful operation of their prop firm, including compliance with applicable financial regulations in their jurisdiction. Clients may not use the Service to engage in or facilitate market manipulation, fraud, money laundering, or any other illegal activity. PropsEngine reserves the right to suspend or terminate access without notice if we reasonably believe the Service is being used in violation of these Terms or applicable law.
Clients are responsible for obtaining any licences, registrations, or regulatory approvals required to operate a proprietary trading program in their jurisdiction. PropsEngine does not provide legal or compliance advice. Clients are responsible for maintaining the confidentiality of their admin credentials and for all activity that occurs under their account. Clients must promptly notify us of any unauthorised access or security breach.
PropsEngine processes personal data as described in our Privacy Policy. Clients who collect personal data from their traders through the platform act as independent data controllers. Clients are responsible for having a lawful basis to collect and process that data and for maintaining their own privacy notices. PropsEngine processes trader data on behalf of Clients solely as required to deliver the Service.
PropsEngine retains all intellectual property rights in the platform, software, and underlying technology. Clients are granted a limited, non-exclusive, non-transferable licence to use the Service for the duration of their subscription. Clients may not reverse-engineer, copy, or resell any part of the platform. Custom branding and content created by the Client remain the property of the Client.
PropsEngine targets a platform uptime of 99.5% measured monthly, excluding scheduled maintenance windows communicated in advance. Technical support is available via email at [email protected] and, for Growth and Enterprise plans, via Telegram. Response time targets are: email within 24 hours, Telegram within a few hours for Growth and Enterprise plans. PropsEngine is not liable for downtime caused by third-party providers, force majeure events, or Client-side configuration errors.
To the maximum extent permitted by law, PropsEngine's total liability to the Client in connection with the Service shall not exceed the fees paid by the Client in the 3 months preceding the event giving rise to the claim. PropsEngine is not liable for indirect, consequential, or incidental damages, including lost profits or trader attrition, even if advised of the possibility of such damages.
Either party may terminate the subscription at any time with 30 days' written notice. PropsEngine may terminate immediately for material breach, non-payment, or violation of the Acceptable Use clause. Upon termination, Client's access to the platform will cease and Client data will be retained for 90 days, after which it will be deleted unless otherwise required by law.
These Terms are governed by and construed in accordance with applicable law. Any disputes arising from or in connection with these Terms shall be resolved through good-faith negotiation in the first instance. If no resolution is reached within 30 days, disputes shall be submitted to binding arbitration or the competent courts of the applicable jurisdiction.
